These Terms of Service (“Terms”) govern your access to and use of the website operated by NoDak Labs LLC (“NoDak Labs,” “we,” “us,” “our”) and any purchase you make through it. By accessing the site or placing an order, you agree to these Terms. If you do not agree, do not use the site.

1. Research use only

Every material sold by NoDak Labs is supplied strictly for laboratory and in-vitro research use only.

Nothing sold here is a drug, a dietary supplement, a cosmetic, a medical device, or a food. Nothing sold here is approved by the U.S. Food and Drug Administration for any use. Nothing sold here is intended to diagnose, treat, cure, mitigate, or prevent any disease or condition in humans or animals.

You may not administer any material purchased from us to a human being or to an animal, and you may not resell, repackage, or supply it to anyone who intends to do so. This restriction is a material term of every sale.

2. Eligibility and buyer representations

By registering an account and by placing an order you represent and warrant that:

• You are at least 21 years of age;
• You are a qualified buyer purchasing for legitimate laboratory or in-vitro research purposes;
• You will not administer the materials to humans or animals, and will not supply them to any person who will;
• You are responsible for handling, storing, using, and disposing of the materials safely and in accordance with all applicable laws, regulations, and institutional requirements;
• Purchase, receipt, and possession of the materials is lawful at your delivery address.

These representations are recorded against your account with the date and the version of these Terms in force at the time. We may refuse, limit, or cancel any order at our discretion, including where we believe these representations are untrue, and we may suspend or close any account.

3. No claims about effects

We do not make, and you may not rely on, any claim that a material we sell produces a particular biological, physiological, therapeutic, or cosmetic effect. Where our product pages cite published research, those citations describe what third-party researchers reported. They are provided for reference and are not our claims, not a representation that any result will be reproduced, and not a recommendation for any use.

4. Product information

We aim to describe every product accurately, including sequence, molecular formula, molar mass, and CAS number where those are known. We do not warrant that all information on the site is complete, current, or error-free, and we reserve the right to correct errors and to update product information at any time without notice.

Where we have not independently verified a figure, we say so rather than presenting it as verified.

5. Accounts

You must register an account to view the catalogue and to order. You are responsible for the accuracy of the information you provide, for keeping your credentials confidential, and for all activity under your account. Notify us immediately if you believe your account has been accessed without your authorisation. You may not share an account, create an account on behalf of someone else, or register using false information.

6. Pricing and availability

Prices are in U.S. dollars and may change without notice. All products are subject to availability. If an item is unavailable after you order, we will contact you and refund that item in full.

In the event of a pricing or listing error, we reserve the right to cancel any affected order, whether or not it has already been confirmed, and to refund you in full.

7. Orders and payment

Your order is an offer to buy. We accept it when we dispatch the goods. Payment is processed by a third-party payment provider; we do not store your full payment card details. You are responsible for any taxes applicable to your purchase.

8. Shipping, returns, and refunds

Shipping terms are set out in our Shipping Policy. Returns and refunds are governed by our Refund Policy. Both are incorporated into these Terms by reference.

9. Intellectual property

The site, its content, product photography, text, and the NoDak Labs name and logo are our property or licensed to us, and are protected by applicable intellectual property law. You may not copy, reproduce, or use them for commercial purposes without our written permission.

10. Prohibited uses

You may not use the site to violate any law; to misrepresent your identity or purpose; to interfere with the security or operation of the site; to scrape, harvest, or mine data; or to submit false or misleading information.

11. Disclaimer of warranties

Except as expressly stated in these Terms, the site and all materials are provided “as is” and “as available,” without warranty of any kind, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the site will be uninterrupted or error-free.

12. Limitation of liability

To the fullest extent permitted by law, NoDak Labs LLC, its members, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or related to your use of the site or any material purchased from us.

To the fullest extent permitted by law, our total aggregate liability arising out of or related to any order will not exceed the amount you paid for that order.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

13. Indemnification

You agree to indemnify and hold harmless NoDak Labs LLC, its members, employees, and agents from any claim, demand, loss, liability, or expense, including reasonable attorneys’ fees, arising out of your breach of these Terms, your misuse of any material purchased from us, or your violation of any law or the rights of any third party.

14. Governing law and venue

These Terms are governed by the laws of the State of North Dakota, without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to these Terms or any order will be brought exclusively in the state or federal courts located in Burleigh County, North Dakota, and you consent to the jurisdiction of those courts.

15. Severability

If any provision of these Terms is found unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force.

16. Changes to these Terms

We may update these Terms at any time. The version posted on this page at the time you place an order governs that order. Your continued use of the site after changes are posted constitutes acceptance of the updated Terms.
